Overview
Aviation Advice - In this Special Condition Contracting Authority means a contracting
authority as defined in the current Public Contracts Regulations
2015. The Client is entitled, without the need to obtain the
Provider’s consent, to:
• novate this Deed or any part thereof to any Contracting
Authority or group company (as defined in Section 1159 of the
Companies Act 2006); or
• novate its rights and obligations under this Deed to any other
body (including any private sector body) which substantially
performs any of the functions that previously had been
performed by the Client;
upon such terms as the Client proposes, provided that where such
novation increases the burden of the Provider’s obligations pursuant
to this Deed, the Provider is entitled to such additional payment as
may be reasonable to compensate for such additional burden.
Any change in the legal status of the Client such that it ceases to be
a Contracting Authority does not affect the validity of this Deed. In
such circumstances, this Deed binds and inures to the benefit of any
successor body to the Client.
Special Condition 2
(Novation B)
The Client is entitled, without the need to obtain the Provider’s
consent, to novate its rights and obligations under this Deed to a
design & build contractor engaged by the Client to construct the
works incorporating the designs produced as part of the
Commission.
The novation will be on such terms as the Client proposes, provided
that where such novation increases the burden of the Provider’s
obligations pursuant to this Deed, the Provider is entitled to such

additional payment as may be reasonable to compensate for such
additional burden.
Special Condition 3
(Guarantee) Does not apply
Special Condition 4
(Early termination)
Notwithstanding Standard Conditions 18.1, 18.2,18.3 and 18.4,
without affecting any other right or remedy available to it, the Client
may terminate this agreement without cause with immediate effect
at no cost by giving written notice to the other party.
